1. Overview

SupplyLink Market connects buyers with suppliers (farmers and wholesalers) around Kumasi. All payments are held by SupplyLink before being paid out to suppliers, and every order is fulfilled through SupplyLink's own delivery system — so SupplyLink, not the buyer or supplier individually, handles refunds and disputes.

This applies to every order — farm-sourced or warehouse-sourced, Express or Normal. If your cart mixes farm and warehouse items, each supplier's delivery is tracked and refunded separately.

2. When a Refund Applies

You're entitled to a full or partial refund if:

• The order wasn't fulfilled — the supplier couldn't supply the item(s) after payment.
• An item wasn't delivered within a reasonable window past the promised time (see Section 5).
• The wrong item, quantity, or unit was delivered.
• Goods arrived damaged or spoiled — report immediately (see Section 4).
• You cancel before the supplier begins preparing your order (see Section 3).

A refund doesn't apply if:

• You change your mind after the order is already out for delivery.
• You were unavailable at the agreed time/location after reasonable contact attempts.
• The item matches its description and the issue is normal variation in fresh produce (size, ripeness).
• The reporting window in Section 4 has passed.

4. Reporting Window

• Damaged, spoiled, or wrong items: report within 2 hours of delivery, with a photo, in the app.
• Non-delivery: report within 24 hours of the promised delivery window closing.

Claims outside these windows aren't eligible, except at SupplyLink's discretion in exceptional cases.

5. Delivery Delay Threshold

• Express (1–3 hr window): eligible for a delay refund/credit past 4 hours total, unless you were notified and agreed to the delay.
• Normal (6–8 hr window): eligible past 11 hours total, unless notified and agreed.
• Farm-sourced items follow the Normal timeline — they're delivered on a fixed weekly collection run rather than Express.

6. How Refunds Are Paid

• SupplyLink Credit (wallet balance) — default, usable immediately on future orders.
• Reversal to MoMo/Paystack — available on request; may take longer depending on the provider.

Partial refunds apply when only part of an order is affected. Mixed farm + warehouse orders are refunded per delivery, independently.

7. Effect on Supplier Payouts

• If the supplier hasn't been paid yet, the refunded amount is simply removed from what they're owed.
• If already paid, it's deducted from their next payout, with a reason notification.
• Suppliers with repeated refund-worthy issues may face account review.

8. Dispute Resolution

SupplyLink Admin acts as the neutral party for any buyer–supplier disagreement over a refund claim, reviewing photos, order details, and delivery timestamps submitted in the app. Both sides are notified of the outcome.

9. Changes to This Policy

This policy may be updated as SupplyLink grows — for example once Paystack/MoMo payment goes fully live, or once business registration is complete. You'll be notified of any material change.

1. Introduction and Acceptance of Terms

These Terms of Service ("Terms") govern access to and use of the SupplyLink Market website, mobile application, and related services (together, the "Platform"), operated by SupplyLink Market Ltd. ("SupplyLink," "we," "us," or "our"), a company whose registration with Ghana's Registrar General's Department is in progress, with its principal place of business at Sunyani Road, Kumasi, Ashanti Region, Ghana.

By creating an account, browsing the Platform, placing an order, listing products as a supplier, or accepting a delivery as a rider, you agree to be bound by these Terms and by our Privacy Policy and Refund & Cancellation Policy, which are incorporated by reference. If you do not agree, you must not use the Platform.

If you are using the Platform on behalf of a business, you represent that you have authority to bind that business to these Terms.

2. Description of the Service

SupplyLink operates an online marketplace connecting buyers with agricultural produce and wholesale goods offered by independent suppliers in and around Kumasi, and coordinates delivery of ordered goods through independent riders and SupplyLink personnel.

SupplyLink is an intermediary platform. Unless expressly stated otherwise, SupplyLink is not itself the grower, manufacturer, or original seller of the goods listed on the Platform; suppliers are independently responsible for the quality, description, and lawful sale of the goods they list.

3. Eligibility and Accounts

• You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account.
• You must provide accurate, current, and complete information when registering, and keep that information up to date.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
• You must notify SupplyLink immediately at support@supplylinkgh.com if you suspect unauthorized use of your account.
• SupplyLink may suspend or terminate an account that provides false information, is inactive for an extended period, or is used in violation of these Terms.

4. Roles on the Platform

4.1 Buyers

Buyers may browse listed products, place orders, and arrange delivery to a specified address within SupplyLink's current service area (currently Kumasi and surrounding areas). Prices displayed to buyers are the total price payable and may include a service margin, delivery fee, or other charges; SupplyLink is not obligated to disclose the underlying supplier cost.

4.2 Suppliers

Suppliers list produce and goods for sale through the Platform under a separate Supplier Agreement. Suppliers are responsible for the accuracy of product listings, the quality and safety of goods supplied, and compliance with applicable food safety, agricultural, and trade laws. SupplyLink sets or approves the final buyer-facing price and remits payment to suppliers according to the payout terms in the Supplier Agreement.

4.3 Riders

Riders accept and fulfil delivery assignments through the rider portal as independent contractors, choosing their own availability rather than fixed hours. Riders are responsible for the safe, timely, and accurate delivery of orders, for accurately recording proof of delivery, and for promptly remitting any cash collected on SupplyLink's behalf.

5. Contact Masking and Circumvention

To protect the integrity of the marketplace, SupplyLink masks direct contact details between buyers and suppliers, and coordinates communication and fulfilment through the Platform. You agree not to:

• Contact another user obtained through the Platform for the purpose of arranging a transaction outside the Platform to avoid SupplyLink's fees;
• Solicit another user to complete a transaction off-Platform;
• Attempt to circumvent, disable, or interfere with the Platform's contact-masking or order-routing systems.

SupplyLink may suspend or terminate the account of any user who violates this section, and may pursue recovery of any resulting losses.

6. Orders, Pricing, and Payment

• All prices are displayed in Ghana Cedis (GH₵) and are subject to change without prior notice, except for orders already confirmed.
• Accepted payment methods currently are Mobile Money (MoMo) and cash on delivery. Card payment via Paystack will be added once that integration is live, and this section updated accordingly.
• An order is confirmed only once payment is received (for MoMo) or the order is accepted for cash-on-delivery fulfilment.
• SupplyLink does not store full payment card details.
• Riders collecting cash on delivery act as a limited collection agent for SupplyLink and must remit collected cash as required by internal policy; a buyer's payment to a rider discharges the buyer's payment obligation to SupplyLink.

7. Delivery

Estimated delivery times (including any Express or Scheduled delivery windows) are estimates only and are not guaranteed. SupplyLink is not liable for delays caused by traffic, weather, incorrect delivery information provided by the buyer, or other circumstances outside its reasonable control.

Risk of loss and title to goods passes to the buyer upon delivery to the address provided, or upon handover to the buyer or their designated recipient.

8. Cancellations and Refunds

Order cancellations, delivery-delay remedies, and refund eligibility are governed by SupplyLink's Refund & Cancellation Policy, which is incorporated into these Terms by reference.

9. Prohibited Conduct

In addition to the restrictions elsewhere in these Terms, you agree not to:

• List, order, or facilitate the sale of goods that are illegal, counterfeit, unsafe, or misrepresented;
• Use the Platform for money laundering or any fraudulent payment activity;
• Upload false, defamatory, or misleading reviews or product information;
• Harass, threaten, or abuse another user, rider, or SupplyLink staff member;
• Attempt to gain unauthorized access to the Platform, other accounts, or SupplyLink's systems;
• Use automated means (bots, scrapers) to access the Platform without SupplyLink's prior written consent;
• Reverse-engineer, decompile, or attempt to extract the source code of the Platform, except as permitted by law.

10. Intellectual Property

The Platform, including its design, logos, text, graphics, and underlying software, is owned by or licensed to SupplyLink and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to access and use the Platform for its intended purpose. You may not copy, modify, distribute, or create derivative works from the Platform without SupplyLink's prior written consent.

Content you submit to the Platform (such as reviews, product photos, or listings) remains yours, but you grant SupplyLink a worldwide, royalty-free licence to use, display, and distribute that content in connection with operating and promoting the Platform.

11. Reviews and User Content

Ratings and reviews reflect the opinions of individual users and not of SupplyLink. SupplyLink may remove content that violates these Terms or that it reasonably believes to be false, abusive, or unlawful, but is not obligated to monitor all content.

12. Disclaimers

The Platform is provided "as is" and "as available." To the fullest extent permitted by law, SupplyLink disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. SupplyLink does not warrant that the Platform will be uninterrupted, error-free, or secure, or that goods supplied by third-party suppliers will meet your expectations.

13. Limitation of Liability

To the fullest extent permitted by law, SupplyLink's total liability to you for any claim arising out of or relating to these Terms or the Platform shall not exceed the amount you paid to SupplyLink in the six (6) months preceding the claim. SupplyLink shall not be liable for indirect, incidental, special, or consequential damages, including loss of profits or data.

14. Indemnification

You agree to indemnify and hold harmless SupplyLink, its officers, employees, and agents from any claim, loss, or expense (including reasonable legal fees) arising from your breach of these Terms, your violation of applicable law, or your use of the Platform, except to the extent caused by SupplyLink's own negligence or wilful misconduct.

15. Suspension and Termination

SupplyLink may suspend or terminate your access to the Platform, with or without notice, for violation of these Terms, suspected fraud, or as required by law. You may close your account at any time by contacting support@supplylinkgh.com. Sections of these Terms that by their nature should survive termination (including Sections 10, 12, 13, 14, and 17) will survive.

16. Changes to These Terms

SupplyLink may update these Terms from time to time. Material changes will be notified through the Platform or by email to registered users. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Ghana. Disputes will first be addressed through good-faith negotiation, then if unresolved, mediation or arbitration under the Alternative Dispute Resolution Act, 2010 (Act 798), before resort to the courts of Ghana, with courts in Kumasi, Ashanti Region as the venue.

1. Introduction

SupplyLink Market Ltd. ("SupplyLink," "we," "us," or "our") respects your privacy. This Privacy Policy explains what personal data we collect through the SupplyLink Market website and mobile application (the "Platform"), why we collect it, how we use and protect it, and the rights available to you under the Data Protection Act, 2012 (Act 843) of Ghana.

This Policy applies to buyers, suppliers, riders, and visitors to the Platform. By using the Platform, you acknowledge that your personal data will be processed as described here.

2. Data Controller

SupplyLink Market Ltd., of Sunyani Road, Kumasi, Ashanti Region, Ghana, is the data controller responsible for your personal data. Data protection enquiries and requests to exercise your rights under this Policy should be sent to support@supplylinkgh.com.

3. Information We Collect

3.1 Information you provide directly

• Account information: full name, phone number, email address, password (stored only as a salted cryptographic hash — SupplyLink never stores your plain-text password).
• Delivery information: delivery address, delivery zone, and any delivery instructions you provide.
• Order information: items ordered, order value, payment method selected.
• Supplier information (for supplier accounts): business/farm name, product listings, pricing, and stock levels.
• Rider information (for rider accounts): name, phone number, and delivery activity (shift times, deliveries completed, cash handled).
• Communications: messages sent through the Platform, reviews, ratings, and support enquiries.

3.2 Information collected automatically

Device and usage information such as IP address, browser/app version, and general usage patterns, to the extent your device or browser provides this. The Platform does not request your device's live or precise GPS location — delivery location is set by choosing a delivery zone and entering an address, not by tracking your device.

3.3 Information from third parties

Payment confirmation status from our payment processor(s) (Mobile Money network). SupplyLink does not receive or store your full card number, MoMo PIN, or banking credentials.

4. How We Use Your Information

• To create and manage your account and authenticate your login;
• To process, fulfil, and deliver orders, including routing orders to suppliers and assigning riders;
• To process payments and payouts, and to reconcile cash collected on delivery;
• To communicate with you about orders, account activity, and customer support;
• To send order-status SMS/notifications where you have opted in;
• To maintain the security and integrity of the Platform, including fraud prevention and enforcing our Terms of Service;
• To improve the Platform, including through aggregated, de-identified analytics;
• To comply with legal obligations.

5. Legal Basis for Processing

Under Act 843, SupplyLink processes personal data on the following bases: (a) your consent, given when you register and agree to this Policy; (b) performance of the contract formed by these Terms when you place or fulfil an order; (c) SupplyLink's legitimate business interests, such as fraud prevention and Platform security, balanced against your rights; and (d) compliance with a legal obligation, where applicable.

6. How We Share Your Information

SupplyLink shares personal data only as necessary to operate the Platform:

• With suppliers and riders — limited to what is necessary to fulfil an order (e.g. a rider receives the buyer's delivery address and phone number for that specific delivery). Direct contact details between buyers and suppliers are masked by the Platform and are not shared beyond what is needed for fulfilment.
• With payment processors (Mobile Money network operators) solely to process payment.
• With service providers who support our operations under confidentiality obligations, including our email provider and cloud database/hosting provider.
• With law enforcement or regulators where required by Ghanaian law, or to protect the rights, property, or safety of SupplyLink, our users, or the public.
• In connection with a merger, acquisition, or sale of assets, subject to this Policy continuing to apply to your data.

SupplyLink does not sell your personal data to third parties.

7. Data Retention

We retain personal data for as long as your account is active and for a reasonable period afterward to comply with legal, accounting, or tax obligations, resolve disputes, and enforce our agreements. You may request deletion of your account data as described in Section 9, subject to these retention obligations.

8. Data Security

SupplyLink applies technical and organisational measures to protect your personal data, including:

• Passwords stored as salted cryptographic hashes, never in plain text;
• Database access controls restricting which data each type of user can read or write;
• Encrypted connections (HTTPS/TLS) between your device and the Platform;
• Restricted access to payment-related and password data at the database level.

No system is completely secure, and SupplyLink cannot guarantee absolute security. If SupplyLink becomes aware of a data breach affecting your personal data, we will notify affected users and the Data Protection Commission as required by Act 843.

9. Your Rights

Under Act 843, you have the right to:

• Be informed that your data is being processed;
• Access the personal data SupplyLink holds about you;
• Request correction of inaccurate or incomplete data;
• Request deletion of your data, subject to SupplyLink's legitimate retention needs (e.g. active orders, legal/tax obligations);
• Object to or restrict certain processing of your data;
• Withdraw consent at any time, where processing is based on consent (this may limit your ability to use parts of the Platform);
• Lodge a complaint with the Data Protection Commission of Ghana.

10. Children's Privacy

The Platform is not directed at children under 18, and SupplyLink does not knowingly collect personal data from children. If you believe a child has provided personal data to us, please contact support@supplylinkgh.com so we can remove it.

11. International Data Transfers

SupplyLink's cloud database is hosted with Supabase in the eu-central-1 region (Frankfurt, Germany), meaning your data may be stored and processed outside Ghana, under the data protection standards applicable in the European Union.

12. Cookies and Similar Technologies

SupplyLink's app stores session and app-state data locally on your device (such as your login session and cart contents) to allow the app to function. This data is not shared with third parties for advertising purposes — SupplyLink does not display third-party advertising on the Platform.

13. Changes to This Policy

SupplyLink may update this Privacy Policy from time to time. Material changes will be notified through the Platform or by email. The "Last Updated" date at the top of this Policy indicates when it was last revised.
